Fees and Rewards

As referred to in Clause 4.1 of the konex Terms & Conditions (the "T&Cs"), this Fees and Reward Policy ("Policy") sets forth the structure of Fees and Rewards and Users’ rights and obligations in connection therewith, and is incorporated by reference into the T&Cs and constitutes part of the T&Cs.

Effective March 2019

  1. Definitions

    Capitalized terms used but not defined in this Policy have the meanings ascribed thereto in the T&Cs.

  2. Fees Payable by Employer

    (1) The following three Fees are payable by an Employer for Services:

    • (a) JPY 500,000 (a "Successful Hire Fee") will be charged upon a Successful Hire of a Candidate by an Employer through the konex Platform. The Successful Hire Fee will be payable by an Employer within 10 business days after receipt by the Employer of the invoice issued by konex through the konex Platform; and

    • (b) JPY 500,000 (a "30-day Employment Fee") will be charged if, after the Successful Hire of a Candidate through the konex Platform, the Candidate has successfully completed his/her first 30 days of employment with the Employer (a "Successful 30-day Employment"). The 30-day Employment Fee will be payable by an Employer within 10 business days after receipt by the Employer of the invoice issued by konex through the konex Platform.

    (2) A "Successful Hire" means the occurrence of any of the following events:

    • (a) an employment contract is executed between an Employer and a Candidate;

    • (b) a Candidate accepts a Position posted by an Employer or when there is any other form of legally enforceable agreement, whether orally or in writing, on the employment of a Candidate by an Employer; or

    • (c) any other event where it is reasonably deemed by konex that a Candidate is employed by an Employer.

    • For clarity, the employment of a Candidate for the purpose of a Successful Hire will include any employment on a trial or probationary basis.

    (3) A Successful Hire of a Candidate by an Employer will be deemed to have been made "through the konex Platform" if there was a chat or web conference between the Employer and a Candidate on the konex Platform;

    (4) A Successful 30-day Employment means the occurrence of any of the following events:

    1. (a) 30 days have passed since a Candidate was hired by an Employer and neither an official decision by the Employer to terminate his/her employment has been made nor a resignation letter from the Candidate has been received by the Employer; or

    2. (b) any other event where it is reasonably deemed by konex that (i) a Candidate has served an Employer for 30 days after his/her employment and (ii) there are no reasonable grounds to believe that his/her employment will be terminated in the near future.

    3. For clarity, a Successful 30-day Employment will include any employment on a trial or probationary basis.

    (5) If a Successful Hire or a Successful 30-day Employment (each, a "Milestone Event") has occurred, the Employer must report to konex to that effect through the konex Platform within 5 days after such occurrence.

    (6) In the event of delay in an Employer’s payment of a Successful Hire Charge or 30-day Employment Charge, konex reserves the right to charge the Employer a late payment charge at the rate of 14.6% per annum.

    (7) An Employer may pay Charges in the following manner:

    1. (a) Bank Wire Transfer

    2. (b) Credit Card Payment

    (8) Any Charges paid by an Employer will be non-refundable.

  3. Rewards for Konectors

    (1) "Konector" means a User who either:

    1. (a) refers a new User to register on the konex Platform as a Candidate; or

    2. (b) introduces an open Position to a Candidate on the konex Platform.

    (2) Konectors will be entitled to the following four Rewards (each, a "Konector Reward"):

    1. (a) JPY 200,000 in the aggregate for Konectors upon the Successful Hire of a Candidate to whom the Position filled by the Successful Hire was introduced by the Konector.

    2. (b) JPY 200,000 in the aggregate for Konectors upon the Successful 30-day Employment of a Konected Candidate.

    (3) Any payment of a Konector Reward by konex to Konectors will be subject to and payable only after actual receipt by konex of the Fee payable by the Employer for the relevant Milestone Event (i.e., for Konector Rewards set forth in Clauses 3(2)(a) and (b), the Successful Hire Fee upon the relevant Successful Hire, and for Konector Rewards set forth in Clauses 3(2)(c) and (d), the 30-day Employment Fee upon the relevant Successful 30-day Employment) pursuant to this Policy.

  4. Rewards for Candidates

    (1) A Candidate will be entitled to the following two Rewards (each, a "Candidate Reward"):

    • (a) JPY 100,000 upon the Successful Hire of the Candidate; and

    • (b) JPY 100,000 upon the Successful 30-day Employment of the Candidate.

    (2) Any payment of a Candidate Reward by konex to a Candidate will be subject to and payable only after actual receipt by konex of the Charge payable by the Employer upon the relevant Milestone Event (i.e., for a Candidate Reward set forth in Clause 4(1)(a), the Successful Hire Charge upon the relevant Successful Hire, and for a Candidate Reward set forth in Clauses 4(1)(b), the 30-day Employment Charge upon the relevant Successful 30-day Employment) pursuant to this Policy.
